Lawson leverages high-caliber legal strategies to deliver net positive client outcomes.

Areas of Practice

Litigation & Disputes

Our practice encompasses contract disputes, shareholder and board conflicts, and claims involving fraud and other business torts. We engineer tactical litigation strategies that operationalize the legal issues, commercial relationships, and business objectives at stake to expedite resolution at the pre-litigation stage.

Labor & Employment

Executives and prominent public figures rely on our counsel in severance negotiations, unpaid compensation disputes, equity clawbacks, and forced departures. We evaluate employment agreements, compensation structures, and the circumstances surrounding separation to protect earned compensation, preserve equity interests, and negotiate favorable exit terms

In severance matters, we outperform industry benchmarks. The industry average for C-suite executives across all industries is approximately 31 weeks of severance. We recently secured a mid-level private equity client 41 weeks—adding $93,000 of extra severance compensation on top of the original $43,000 presented. Where a client was terminated without severance or documentary proof for wages owed, we still secured a $45,000 severance payment, in under two weeks.

Transactional Advisory

We serve as deal counsel for businesses navigating complex commercial agreements, from enterprise-level partnerships to multi-party software integrations, including:

  • Intellectual Property Ownership – Securing client ownership of custom-developed technology and clearly defining IP boundaries between proprietary codebases and stand-alone deliverables.

  • Revenue Structuring – Drafting and negotiating revenue share arrangements, including split API-powered transaction models and tiered purchase-based commission structures.

  • Liability & Risk Management – Identifying liability exposure and negotiating favorable indemnity caps to contain financial risk.

Representative experience includes serving as deal counsel for Easyship Inc. in its Enterprise Agreement with Squarespace, Inc., and in the negotiation of a Master Services Agreement and multiple Statements of Work governing various strategic commercial integrations.

Govt Investigations

We lead subpoena response strategy for companies and stakeholders facing government inquiries, including federal grand jury and administrative subpoenas from the U.S. Department of Justice (DOJ);United States Attorney’s Offices (USAO); Drug Enforcement Administration (DEA); and Department of Homeland Security (DHS).

We advise on potential exposure, and manage the document production and review for privilege and confidentiality with a particular focus on strategic framing in communications with investigators to guard against inadvertent disclosures.
